Represented a New York-based real estate development company with respect to a $47 million re-financing of a 123-unit apartment building, secured by Bear Stearns, N.A., including all aspects of loan negotiation, defeasance, title clearance and preparation of documents for conduit program.

 

Represented a U.S. public company in connection with the multi-million acquisition of all the assets, in particular the rights to patents and other intellectual property, of a major medical manufacturer of the only FDA approved home needle destruction device.

Represented a Dutch information and technology consulting company in connection with its $8 mi-llion Regulation B reorganization and merger with the Florida-based affiliate of a Swiss corporation including working with local counsel and accountants on international tax consequences of the tran-saction.

Represented a U.S. real estate developer with affiliate offices in Uzbekistan in connection with all phases of development of multi-family residential properties, including: (i) initial acquisition of property; (ii) successful tax-lot subdivision of the property; (iii) preparation of general contractor, architectural and engineering agreements; (iv) negotiation of acquisition and project loans; and (iv) sale of property.

Represented a U.S. based international security systems software developer with offices in Moscow, Russia, in connection with several multi-million dollar original equipment manufacturing and licensing transactions with such companies as IBM, Siemens and Alcatel-Lucent.

Represented U.S. based food wholesaler in connection with multi-million dollar acquisition of large domestic food distributor, including distribution and supply agreements, diligence with respect to asset and cash flow analysis to support its financing.
